Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Regent Ledger platform, website and related services (together, the “Service”), operated by DC Regent Group Limited (“Regent Ledger”, “we”, “us”). By creating an account or using the Service you agree to these Terms.

1. The Service

Regent Ledger provides AI-powered financial document intelligence: ingestion, understanding, validation and routing of financial documents for business customers. We continuously improve the Service; features may be added, changed or retired, and we will give reasonable notice of material changes that affect you.

2. Your account and responsibilities

• You are responsible for the accuracy of the information you provide and for activity under your account credentials.
• You must keep account credentials confidential and notify us promptly of any unauthorised use.
• You must only submit documents you are authorised to process and must comply with all laws applicable to your use of the Service.

3. Acceptable use

You may not use the Service to process unlawful material, to probe or disrupt the Service, to reverse engineer the platform, or to attempt to access data belonging to other customers. We may suspend access that we reasonably believe violates these Terms.

4. Fees and payment

Fees are set out in the applicable order or plan selected at checkout. Unless otherwise agreed, fees are payable in advance and are non-refundable except as required by law. Where the Service is provided free of charge during a trial, the trial is subject to these Terms.

5. Intellectual property

The Service, including its software, models, documentation and branding, is owned by Regent Ledger or its licensors. You retain all rights in the documents and data you submit. We grant you a limited, non-exclusive right to use the Service in accordance with these Terms.

6. Confidentiality and data

We process documents and related data on your behalf and in accordance with our Privacy Policy. We do not use your documents to train public models. Technical and organisational measures are described in our security documentation, which is available on request.

7. Warranties and disclaimer

The Service is provided “as is” and “as available”. To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that automated processing will be accurate in every case. You remain responsible for decisions made using the Service.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with these Terms or the Service will not exceed the total fees you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages.

9. Termination

You may stop using the Service at any time. Either party may terminate an order with notice in accordance with the applicable agreement. On termination we will return or delete your data in line with our data retention commitments.

10. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
